1. Introduction

Welcome to MRKD.dj ("we," "our," "us"), a technology format designed to empower creators, rights holders, and listeners to participate in a transparent, rights-managed music ecosystem. MRKD.dj is not a traditional streaming service or centralized platform—it is a format and framework that enables artists, producers, and catalog owners ("Creators") to define, encode, and enforce their own rights, permissions, and royalties through Grouped Asset NFTs (GANs) and Permanent Names (IPIDs).

By accessing or using MRKD.dj in any capacity—including as a listener, collector, DJ, producer, manager, or catalog owner—you ("User") agree to these Terms & Conditions ("Terms"). Please read them carefully.

2. Nature of the MRKD Format

MRKD.dj provides the tools and protocols necessary for Creators to register, mark, and distribute their music as authenticated digital assets. MRKD.dj:

• Does not own or control the intellectual property uploaded by users.
• Does not access, alter, or monetize user content beyond the permissions explicitly set by the owner.
• Does not mediate or override rights, royalties, or distribution rules encoded by creators.
• Functions as a format, not a custodian—facilitating the creation, storage, and transaction of music IP through blockchain-based marks of authentication.

Users are responsible for defining the terms under which their works may be accessed, purchased, remixed, or resold within the MRKD.dj ecosystem.

3. Ownership and Rights Management

• Each Creator retains full ownership of their uploaded works and associated IP.
• By uploading a file or linking to an existing asset, the Creator affirms that:
  • They have the legal right to distribute, license, and/or modify the content.
  • They understand that their encoded rights, royalty splits, and derivative permissions will be governed by the smart contracts or metadata they define.
  • They are solely responsible for ensuring that their settings comply with applicable copyright and intellectual property laws.
• MRKD.dj is not responsible for disputes regarding ownership, authorship, or royalty allocation between users.

4. Privacy and Data Security

• MRKD.dj respects the privacy of creators and consumers.
• All files, metadata, and smart contracts are stored and transacted through decentralized protocols whenever possible.
• MRKD.dj does not access, view, or share private user files unless expressly permitted.
• Data collected (such as usernames, email addresses, and blockchain addresses) is used solely for authentication, ownership validation, and transaction tracking.
• MRKD.dj will never sell or share personal data with third parties.
• Because MRKD.dj operates as a format, not a hosting provider, Creators are responsible for how and where they store and secure their own files (e.g., IPFS, decentralized storage, or MRKD-verified hosts).

5. User Responsibility and Conduct

Users agree to:

• Respect the rights of other creators and refrain from uploading unauthorized content.
• Configure permissions and royalties responsibly to ensure fair treatment of collaborators and remixers.
• Avoid fraudulent activity, including false claims of authorship or manipulation of provenance data.
• Understand that MRKD.dj cannot undo or reverse blockchain transactions or smart contract executions.

Creators, DJs, and Producers are individually accountable for how they distribute, sell, or remix their works under the MRKD format.

6. Royalties and Transactions

• All royalty and payment logic within MRKD.dj is governed by smart contracts defined by users.
• MRKD.dj does not set royalty rates or mediate payouts.
• MRKD.dj does not control user wallets or funds.
• Transactions are automated, transparent, and final once executed on-chain.
• Each Creator is responsible for defining and testing their royalty logic before making assets available to others.

7. Limitation of Liability

• MRKD.dj provides the infrastructure "as-is" without warranties of any kind.
• We do not guarantee uptime, storage permanence, or interoperability beyond what is technologically feasible.
• We are not liable for lost files, unauthorized distribution, or contractual misconfigurations by users.
• We are not responsible for any legal claims, losses, or damages arising from a User's misuse of MRKD tools or violation of intellectual property laws.

8. Dispute Resolution

Disputes between Users are to be resolved directly between the parties involved. MRKD.dj may, at its discretion, provide mediation tools but is not obligated to enforce or arbitrate any outcome.

9. Modifications

MRKD.dj reserves the right to modify these Terms at any time. Continued use of the MRKD format after changes are made constitutes acceptance of the updated Terms.
